- Persistent Systems' total stake in Nagarro reaches 83.25%
- Nagarro shares to be delisted from Frankfurt Stock Exchange
- Acquisition expected to complete by Q1 2027
What happened
Persistent Systems’ subsidiary successfully acquired an additional 61.15% stake in German IT firm Nagarro through a voluntary public offer, bringing its total shareholding to 83.25%. This acquisition follows an initial purchase of a 22.10% stake in June 2026 from Lantano Beteiligungen GmbH, Nagarro’s largest shareholder. The acceptance period for this offer concluded on September 17, 2026, with an additional acceptance period running until October 6, 2026, allowing Nagarro shareholders yet to tender their shares to participate.
Following the successful stake increase, Persistent Systems announced plans to delist Nagarro shares from trading on the Frankfurt Stock Exchange’s regulated Prime Standard market. The company expects to complete the acquisition and regulatory processes by the end of the first calendar quarter of 2027.
Why it matters
Gaining majority ownership with an 83.25% stake strengthens Persistent Systems’ influence over Nagarro’s strategic direction and operations. This consolidation of control aligns with Persistent’s longer-term growth strategy expanding its footprint in the European IT services market. Delisting Nagarro from the Frankfurt Stock Exchange will simplify corporate governance and reduce regulatory overheads involved with being a publicly listed company in Germany.
The deal signals Persistent Systems’ confidence in the value creation potential of Nagarro and offers an attractive cash exit opportunity for remaining shareholders at EUR 81 per share. Achieving over 50% ownership also fulfills German takeover regulations, allowing Persistent to move forward decisively with integration and synergies between the two companies.
What to watch next
Market analysts and investors will closely monitor the completion of the additional acceptance period ending October 6, 2026, to see if Persistent Systems further increases its stake in Nagarro beyond the current 83.25%. Any additional uptake could solidify its control and impact the final terms of the takeover.
