Chinese AI model developer Z.ai, listed in Hong Kong, is targeting up to US$5 billion in new capital via a combined share placement and convertible bond issuance following a major July fundraising round.
- Plans HK$15.7 billion (US$2 billion) placement of new H shares
- Announced US$3 billion convertible bond sale
- Revenue rose 400% in first half of 2026 but losses remain significant
What happened
Z.ai has filed to raise about HK$15.7 billion (US$2 billion) through a placement of roughly 21.97 million new H shares priced at HK$714 each. In addition, the company disclosed plans for a 20.14 billion yuan (US$3 billion) convertible bond issuance with filings submitted to the Hong Kong stock exchange.
These moves come after a successful July share placement raising HK$31.4 billion at a higher price point, coinciding with the expiry of a 60-day lock-up period. Z.ai’s stock price has retreated from its June peak but remains significantly above its initial public offering price in January.
Why it matters
The fundraising efforts underline the substantial financial demands of developing advanced AI technologies. Z.ai's revenue for the first half of 2026 surged 400% to 954 million yuan (US$142 million), reflecting rapid growth in demand for AI models and services.
However, the company still reports significant losses, with a total loss narrowing slightly but adjusted net loss actually increasing. Meanwhile, spending on research and development continues to rise, emphasizing the high-cost nature of competing in this cutting-edge sector amid growing market competition and shifting investor sentiment.
What to watch next
Z.ai recently launched an upgraded flagship model, GLM-5.3, and is developing a next-generation AI model with enhanced capabilities. Continued investment in these technologies will be crucial as analysts predict that Chinese AI firms, including Z.ai, may remain loss-making through 2030 due to rising computing expenses and stiff competition.
